Private limited company registration in Mumbai uses the same online SPICe+ filing as the rest of India, but local rules decide your Registrar, your stamp duty and the state registrations bundled into the form. An office in Mumbai City or Mumbai Suburban goes to ROC Mumbai-I, Maharashtra stamp duty is ₹1,000 on the MoA plus 0.3% of capital on the AoA, and a ₹10 lakh company in Mumbai pays ₹5,000 in government costs.
Which ROC handles company registration in Mumbai?
From 16 February 2026, a registered office anywhere in Mumbai City or Mumbai Suburban district, from Fort to Borivali, is registered with ROC Mumbai-I. An office in Thane, Navi Mumbai, Palghar or Raigad goes to ROC Mumbai-II, headquartered in Navi Mumbai, and SPICe+ asks you to name the ROC.
The same reorganisation created a new ROC at Nagpur and split the Regional Director's office: one in Mumbai for Mumbai, Mumbai Suburban, Goa and Daman and Diu, and one in Navi Mumbai for the rest of Maharashtra, as set out in the PIB release of 31 December 2025. Filings are still made only on the MCA portal.
Watch out. Choose the address with the new boundary in mind. Shifting the registered office from Andheri to Vashi now moves the company from one Registrar to another inside Maharashtra, which needs a special resolution and the Regional Director's confirmation on Form INC-23 under section 12(5) of the Companies Act. The Regional Director has 15 days to decide a complete application, and the certified order is filed in INC-28 within 30 days of receiving it. Ofin handles these moves under registered office change in Mumbai.
Registered office options in Mumbai and the proof each needs
Four kinds of address work for a Mumbai company: premises you own, a flat or office on leave and licence, a family member's home, or a co-working seat. Each works if you attach title or tenancy papers, the owner's NOC where the premises are not yours, and a utility bill not older than two months.
| Office type | What SPICe+ needs | Point to check in Mumbai |
|---|---|---|
| Your own flat or office | Conveyance or sale deed, utility bill | The bill is in the owner's name and recent |
| Leave and licence | Agreement with rent receipts, owner's NOC, utility bill | In Maharashtra the agreement must be in writing and registered |
| Family member's home | Their title document, their NOC, utility bill | The NOC comes from the person on the title |
| Co-working or business centre | Agreement with rent receipts, NOC, utility bill | The certifying professional must visit and find it functioning |
Section 55 of the Maharashtra Rent Control Act 1999 makes registration of a leave and licence agreement compulsory and puts that duty on the landlord. Two later checks also make a paper-only address risky: INC-20A asks for photographs of the building and of the office with a director or key manager inside, and the Registrar can order a physical verification under section 12(9).
Maharashtra stamp duty and government fees for a Mumbai company
Maharashtra charges ₹1,000 on the MoA and 0.3% of share capital on the AoA, capped at ₹1 crore. The AoA rate has applied since 14 October 2024; before that it was 0.2%, capped at ₹50 lakh. Both duties are normally paid electronically with SPICe+ on the MCA portal, along with any MCA fee.
| Authorised capital | MCA fees | Maharashtra stamp duty | Total |
|---|---|---|---|
| ₹2 lakh | ₹1,000 (name only) | ₹1,600 | ₹2,600 |
| ₹10 lakh | ₹1,000 | ₹4,000 | ₹5,000 |
| ₹15 lakh | ₹1,000 | ₹5,500 | ₹6,500 |
| ₹20 lakh | ₹67,500, or ₹23,500 if it stays small for a year | ₹7,000 | ₹74,500, or ₹30,500 |
The jump at ₹20 lakh is the MCA registration fee, which is nil only up to ₹15 lakh. Ofin's package price includes the government fee and stamp duty; the incorporation fee and stamp duty calculator works out any other capital in Maharashtra.
Profession tax, Shops and Establishments and GST after a Mumbai incorporation
A Mumbai company's profession tax registration is part of SPICe+ itself: MCA says it is mandatory through SPICe+ for new companies in Maharashtra. Companies incorporated after 22 July 2020 take both certificates at incorporation: PTEC for the company's own tax and PTRC for deducting tax from salaries.
- PTEC. ₹2,500 a year in most cases, due by 31 March, paid on the Maharashtra GST Department portal.
- PTRC. Returns are monthly if last year's tax was ₹50,000 or more, otherwise yearly, and under the 2026 amendment rules they are due on the 15th (15 March for the annual return). A late return costs ₹200 within 30 days and ₹1,000 after that. The Maharashtra professional tax calculator works out salary deductions, and professional tax registration in Mumbai covers the filing.
- Shops and Establishments. Under Maharashtra's 2017 Act, an establishment with ten or more workers registers online within 60 days of starting business and receives a Labour Identification Number; one with fewer than ten gives an online intimation within 60 days. Ordinance VIII of 2025 raised the limit to twenty from 1 October 2025, but it lapsed without being replaced by an Act, and a state government circular of 30 April 2026 again uses ten. The AGILE-PRO-S form has a Shops and Establishment section with a Mumbai declaration under that Act, which asks for the ward and property account number.
- GST. A Mumbai GSTIN starts with 27, Maharashtra's state code. You can apply in AGILE-PRO-S or later through GST registration in Mumbai.
Worked example: a trading company in Fort, Mumbai
Kesar Route Traders Private Limited, a made-up company, has two directors living in Dadar and Thane, ₹15 lakh of authorised capital and 22 staff, and takes an office in Fort on leave and licence. Its government cost at incorporation is ₹6,500, and because the office is in Mumbai City it is registered with ROC Mumbai-I.
- The landlord registers the leave and licence agreement, and the company attaches it with rent receipts, the owner's NOC and an electricity bill not older than two months.
- SPICe+ and AGILE-PRO-S carry the PTEC and PTRC applications, EPFO and ESIC registration and the bank account application.
- With 22 workers, the company registers under the Shops and Establishments Act within 60 days of starting business, not just an intimation.
- Within 180 days a director files INC-20A, with photographs of the Fort office and a director inside.
Had the founders picked a Vashi office instead, the company would sit with ROC Mumbai-II, and a later move into Mumbai would need the Regional Director's confirmation.
Common mistakes Mumbai founders make
The papers for a Mumbai office need the most care. A leave and licence agreement that has expired or was never registered, a utility bill that is not in the owner's name, or an address near the Mumbai and Thane boundary entered against the wrong ROC can each lead the CRC to send SPICe+ back.
- Old stamp duty figures. Quotes still using 0.2% on the AoA predate 14 October 2024.
- Profession tax left for later. PTEC and PTRC come with incorporation in Maharashtra, so put the 31 March PTEC payment and the PTRC return dates in the calendar from day one.
- Ignoring the headcount. Reaching ten workers turns a Shops and Establishments intimation into a registration.
