LLP registration in Mumbai is filed online with the MCA, and since 16 February 2026 an LLP with its registered office in Mumbai City or Mumbai Suburban comes under the Registrar of Companies, Mumbai-I. The Maharashtra-specific cost is stamp duty on the LLP agreement: ₹500 up to ₹50,000 of cash contribution, then 1% of the contribution, capped at ₹50,000. After incorporation, a Mumbai LLP also deals with Maharashtra professional tax and the shops and establishments law.
Which ROC registers an LLP in Mumbai?
An LLP whose registered office is in Mumbai City or Mumbai Suburban district is registered by ROC Mumbai-I. Since 16 February 2026, an office in Thane, Palghar or Raigad, which includes Navi Mumbai, falls under ROC Mumbai-II, based in Navi Mumbai. Both work through the same MCA portal, so nobody needs to visit either office.
The address you give in FiLLiP decides the Registrar. A consultancy in Fort and a studio in Andheri both go to Mumbai-I. A trading LLP with its office across the harbour in Navi Mumbai goes to Mumbai-II, even if the partners live in Mumbai. The split comes from the MCA's reorganisation of Registrar offices announced by PIB on 31 December 2025, which also created a separate ROC at Nagpur.
The registered office is also where notices to the LLP are served (section 13 of the LLP Act), and a change of address takes effect only once it is filed with the Registrar. Update it with the MCA before you move between Mumbai and Thane.
Stamp duty on an LLP agreement in Maharashtra
Article 47 of the Maharashtra Stamp Act charges an LLP agreement ₹500 when there is no contribution or the cash contribution is up to ₹50,000, and 1% of the whole contribution once it exceeds ₹50,000, capped at ₹50,000. The cap was ₹15,000 until Maharashtra raised it from 14 October 2024. A contribution in property pays conveyance duty on its market value instead.
| Total cash contribution | Stamp duty on the LLP agreement in Maharashtra |
|---|---|
| ₹50,000 | ₹500 |
| ₹2,00,000 | ₹2,000 |
| ₹8,00,000 | ₹8,000 |
| ₹60,00,000 | ₹50,000 (cap) |
The same article covers a later retirement of a partner or a dissolution: ₹500, unless a partner takes away property other than what they brought in, which pays conveyance duty. These rates are in the official text of the Maharashtra Stamp Act published by the Law and Judiciary Department. The duty is paid under state law, by e-stamp or franking, before Form 3 is filed with the MCA.
Example. Saltpan Studio LLP, a made-up design firm in Parel, starts with ₹8,00,000 of cash contribution from two partners. Its government cost is ₹200 for RUN-LLP, ₹4,000 for FiLLiP, ₹150 for Form 3 and ₹8,000 of Maharashtra stamp duty: ₹12,350 in all. The incorporation fee and stamp duty calculator gives the same figure.
Registered office proof for a Mumbai LLP
FiLLiP needs a sale deed, lease deed or rent agreement with rent receipts, a utility bill not older than two months, and the owner's no-objection where applicable. A Mumbai registered office can be owned, rented or shared, and the proof comes from whoever holds the premises.
- Owned flat or office. The sale deed and a recent electricity bill, plus a no-objection letter if a relative owns it.
- Leave and licence. A Maharashtra leave and licence agreement of up to 60 months pays stamp duty under Article 36A at 0.25% of the total licence fee, any non-refundable deposit, and 10% a year notional interest on the refundable deposit. Keep the stamped agreement and rent receipts for FiLLiP.
- Housing society. For a Form A shops and establishments registration, the 2018 Rules list a no-objection certificate from the society when the business runs from residential society premises.
Professional tax and other Maharashtra registrations for an LLP
In Maharashtra the LLP itself pays professional tax of ₹2,500 a year under Schedule I entry 18A, and each partner pays ₹2,500 under entry 19(b). No person pays more than ₹2,500 a year in all. An LLP that pays salaries also takes a PTRC to deduct professional tax from its staff.
The Maharashtra professional tax calculator works out the salary deductions. Other filings follow within weeks of incorporation:
| Registration | Maharashtra rule | Where it is filed |
|---|---|---|
| Shops and establishments | Form F intimation within 60 days of starting business if fewer than 10 workers; Form A registration if 10 or more | Maharashtra Labour Department, online |
| Professional tax | PTEC for the LLP and its partners, ₹2,500 each, due by 31 March; PTRC once salaries are paid | MahaGST portal |
| GST | Registration once turnover crosses ₹20 lakh for services or ₹40 lakh for goods only; GSTINs in Maharashtra begin with 27 | GST portal |
Under section 36A of the Maharashtra Shops and Establishments Act, 2017, the name board must be in Marathi in Devanagari script, written first and in letters no smaller than any other language. The Form F filing asks for a photo of the board.
How long does LLP registration take in Mumbai?
The law sets the outer limits, not a fixed day count. The Registrar must register the LLP within 14 days once FiLLiP is complete (section 12 of the LLP Act), a name reserved through RUN-LLP holds for three months, and Form 3 is due within 30 days of incorporation. The Maharashtra filings then run on their own clocks.
Arrange the office proof and digital signatures before you file, then plan the sequence: stamp the LLP agreement as soon as the certificate arrives, file Form 3, then submit the shops and establishments intimation and PTEC enrolment.
Mistakes Mumbai LLPs make with Maharashtra rules
Most problems come from treating the Mumbai filings as optional or from using pre-2024 figures. Each of these has a clear rule behind it.
- Old stamp duty tables. Agreements stamped on the ₹15,000 cap after 14 October 2024 are short-stamped where the contribution exceeds ₹15 lakh.
- One PTEC instead of three. A two-partner LLP and its partners pay ₹7,500 a year between them in Maharashtra, unless a partner already pays the ₹2,500 maximum elsewhere.
- English-only signboards. The Marathi name board rule applies to establishments with fewer than 10 workers too.
- Wrong ROC on paper. A Navi Mumbai office belongs to ROC Mumbai-II, not Mumbai-I.
- Missed intimation. Skipping the Form F intimation can attract a ₹1,000 penalty under section 7(3) of the Shops and Establishments Act.
Once registered, the LLP's yearly Form 11 and Form 8 filings follow; see LLP annual compliance in Mumbai.
