Has Your DIN Been Deactivated?
You missed the DIR-3 KYC deadline. It happens. But the consequences are immediate — your Director Identification Number (DIN) is now marked “Deactivated” by the Ministry of Corporate Affairs (MCA), and until it’s reactivated, you legally cannot:
- Sign board resolutions or company documents
- File any forms on the MCA portal
- Act as a director or designated partner in any company
- Be appointed to a new directorship
Every day your DIN stays deactivated, your company’s compliance also gets stuck. Resolutions cannot be passed. Annual filings cannot be signed. Regulatory deadlines keep moving — with or without you.
The good news? Reactivating your DIN is straightforward, as long as you act quickly. At Ofin Legal, we file your DIR-3 KYC, manage the late fee, and get your DIN back to active status — typically within 1–2 working days.

inactive.
Why Was Your DIN Deactivated?
The most common reason is non-filing of Form DIR-3 KYC by the annual deadline of 30th September.Under the Companies (Appointment and Qualification of Directors) Rules, 2014, every director who holds a DIN must complete their annual KYC update with the MCA. If this is not done before the deadline, the MCA automatically deactivates the DIN — no warning, no grace period.
It doesn’t matter whether your company is active, dormant, or compliant in every other way. If the KYC is not filed, the DIN goes inactive.

What is DIR-3 KYC and Why Does It Matter Every Year?
There are three distinct actions available under the scheme, each with its own fee benefit:
- File Pending Annual Returns and Financial Statements Clear all overdue forms (MGT-7, AOC-4, ADT-1, and others) by paying the normal statutory filing fee plus only 10% of the applicable additional (late) fees. Normally, you would have to pay 100% of those accumulated late fees.
- Apply for Dormant Status (MSC-1) If your company has been inactive but you want to keep it registered with minimal future compliance requirements, you can apply for dormant status by paying just 50% of the normal MSC-1 filing fee.
- Apply for Voluntary Strike-Off (STK-2) If your company is defunct and you want to close it cleanly without ongoing obligations, you can apply for strike-off by paying only 25% of the normal STK-2 filing fee. This also provides relief from future compliance liability.
Fee Structure at a Glance
| Action | Normal Cost | Under CCFS 2026 |
|---|---|---|
| Additional fee on delayed filings | Rs. 100/day | 10% of total additional fees |
| Dormant status application (MSC – 1) | Full filing fee | 50% of normal filing fee |
| Strike-off application (STK – 2) | Full filing fee | 25% of normal filing fee |

How DIN Reactivation Works — Step by Step
Step 1 — Share Your Documents Send us scanned copies of your documents. Everything is handled digitally — no office visit needed.
Step 2 — Form Preparation Our team prepares your DIR-3 KYC form (eForm or Web, whichever applies), verifies that all details match your PAN and MCA records exactly.
Step 3 — DSC and Certification Your DSC is applied to the form, and it is digitally certified by a qualified professional (CA/CS/CMA) — as required by MCA.
Step 4 — Late Fee Payment Guidance We guide you through the MCA late fee payment of ₹5,000 on the government portal. This must be paid before the form is submitted.
Step 5 — Filing and SRN Generation Your DIR-3 KYC form is submitted on the MCA portal. A Service Request Number (SRN) is generated for tracking.
Step 6 — DIN Reactivated The MCA processes the form through Straight Through Processing (STP). Once approved, your DIN is automatically restored to “Approved / Active” status. We confirm this to you.
What is the Penalty for Not Filing DIR-3 KYC?
The MCA levies a late fee of ₹5,000 for filing DIR-3 KYC after the 30th September deadline. This fee is payable directly to the Government through the MCA portal at the time of reactivation filing. There is no partial waiver or reduction. The penalty applies regardless of whether the DIN holder was actively working as a director or not during the year.
The longer you wait, the more risk accumulates — especially if your company has MCA filings due during the period your DIN remains inactive.
What Happens After Your DIN is Reactivated?
Once reactivated, your DIN status returns to “Active” and you can immediately resume all director functions. However, do note:
- Any MCA filings that were blocked during the deactivation period will need to be submitted now — potentially with their own late fees
- If your company’s annual compliance was delayed because of your inactive DIN, those filings should be cleared promptly
- You must file DIR-3 KYC again by the next 30th September to avoid a repeat deactivation
Ofin Legal sets up a compliance reminder for you so you never miss the annual deadline again.
