Company registration cost in India has three layers: government fees and stamp duty, digital signatures, and the professional work of drafting and filing. This guide breaks down what sits inside the price of a private limited company, OPC or LLP, how capital and state move it, and what the first year adds. Keep authorised capital at ₹15 lakh or less and the MCA registration fee and SPICe+ fee are both nil.
What does company registration cost in India include?
It covers government charges (MCA fees and state stamp duty), digital signatures and DINs for the directors, and drafting and filing work. For a company with authorised capital up to ₹15 lakh, the government part is small: ₹1,000 to reserve the name plus state stamp duty on the MoA and AoA.
| Cost item | Private limited company or OPC | LLP |
|---|---|---|
| Name reservation | ₹1,000 (SPICe+ Part A) | ₹200 (RUN-LLP) |
| Registration fee | Nil up to ₹15 lakh authorised capital, then by the fee table | FiLLiP fee: ₹500 up to ₹1 lakh contribution, rising to ₹25,000 above ₹1 crore |
| Form fee | SPICe+ ₹500, only above ₹15 lakh | Form 3 (LLP agreement): ₹50 to ₹600 by contribution |
| Stamp duty | On the MoA and AoA, by state, paid with SPICe+ | On the LLP agreement, by state, paid outside the MCA portal |
| PAN and TAN | Issued through SPICe+ | Issued through FiLLiP |
The Press Information Bureau release of 19 August 2025 confirms the zero fee for companies up to ₹15 lakh and that SPICe+ also handles PAN, TAN, EPFO and ESIC registration. Ofin's private limited company and LLP packages include digital signatures and DINs for two directors or partners. The final fee depends on the number of directors or partners, your state and any add-ons, and is confirmed in writing before you pay.
How do capital and state change private limited company registration fees?
Authorised capital sets the MCA fee and the state of the registered office sets the stamp duty. In Maharashtra a ₹10 lakh company pays ₹5,000 in government costs, but a ₹25 lakh company pays ₹91,000, or ₹42,000 if it stays a small company for its first year. The jump comes from the registration fee, which starts above ₹15 lakh.
- Capital above ₹15 lakh. The registration fee follows the Table of Fees: ₹81,000 at ₹25 lakh for most companies, plus the ₹500 SPICe+ fee.
- Small companies and OPCs. If the company stays an OPC or a small company for at least a year, the lower table applies: ₹32,000 at ₹25 lakh. From 1 December 2025 a small company has paid-up capital up to ₹10 crore and turnover up to ₹100 crore, under G.S.R. 880(E).
- Stamp duty. Maharashtra charges ₹1,000 on the MoA and 0.3% of capital on the AoA. Karnataka charges ₹5,000 for every ₹10 lakh of capital or part of it on the AoA, and its MoA duty is confirmed in your quote. For other states the duty depends on the state's Stamp Act, and Ofin confirms it in your quote.

LLP registration fees vs OPC registration cost
An LLP's government cost follows the partners' total contribution: ₹200 for the name, a FiLLiP fee of ₹500 to ₹25,000, a Form 3 fee of ₹50 to ₹600 and state stamp duty on the agreement. An OPC pays the same MCA charges as a private company, with the lower OPC table above ₹15 lakh.
Example. Two partners form an LLP in Pune with ₹5,00,000 cash contribution. They pay ₹200 for RUN-LLP, a ₹2,000 FiLLiP fee, a ₹100 Form 3 fee and ₹5,000 Maharashtra stamp duty on the agreement (1% of the contribution): ₹7,300. With ₹50,000 or less in cash contribution, the duty would be a flat ₹500.
The LLP agreement duty is paid under the state stamp law, by e-stamp or franking, before Form 3 is filed. Ofin's LLP package starts at ₹9,999 and the OPC package at ₹8,999. If you are unsure which fits, the business structure finder asks seven questions and explains its choice.
Which first-year costs should you budget for?
Registration is only the first bill. A new company with share capital must have its first auditor appointed by the board within 30 days, file INC-20A within 180 days, hold its first AGM within 9 months of the end of its first financial year, and then file AOC-4 and MGT-7 or MGT-7A. An LLP files Form 11 by 30 May and Form 8 by 30 October.
The calculator's add-ons cover the registrations most businesses need in year one: GST, a trademark, Udyam, professional tax, an Import Export Code, Startup India (DPIIT) recognition and first-year compliance. Use the GST registration checker before you add GST, since not every business has to register. Anything the package already includes, such as GST in the partnership and proprietorship packages, is marked Included and not charged twice.
Worked example: first-year dates for a Mumbai startup
Take a private limited company with two directors, ₹10 lakh authorised capital and a registered office in Mumbai, incorporated on 10 November 2026. Its government cost at incorporation is ₹5,000. Its first financial year ends on 31 March 2027, and these dates follow.
| Date | What is due |
|---|---|
| 10 December 2026 | Board appoints the first auditor (30 days from incorporation) |
| 9 May 2027 | INC-20A, declaration of commencement of business (180 days) |
| 31 October 2027 | Company income tax return (currently ITR-6) for the tax year ending 31 March 2027 |
| 31 December 2027 | Last day for the first AGM (9 months after the year end) |
| 30 January 2028 | AOC-4, if the AGM is held on 31 December 2027 |
| 29 February 2028 | MGT-7A, 60 days after that AGM |
Missing these dates is what makes a cheap registration expensive. A company that does not file INC-20A faces a ₹50,000 penalty, each officer in default ₹1,000 a day up to ₹1 lakh, and the ROC can start striking it off. AOC-4 and MGT-7A each carry an additional fee of ₹100 a day with no upper limit.
The ROC compliance calendar builds this list for your own incorporation date and lets you download it.
How can you lower the cost of registering a company?
Start with authorised capital of ₹15 lakh or less and raise it later only when you need to. A Maharashtra company formed at ₹15 lakh pays ₹6,500 at incorporation and ₹33,000 to go to ₹25 lakh later on Form SH-7: ₹39,500 in government costs, against ₹91,000 for forming at ₹25 lakh straight away.
That works because the SH-7 fee is the fee on the new capital minus the fee on the old capital, and the ₹15 lakh relief means the first slice is never charged. Ofin's fee for the increase is ₹9,999, so compare before you decide; the authorised capital increase calculator shows the government side.
- Pick the structure once. Converting a partnership or LLP into a company later means fresh filings and fees.
- Take services together. Ofin quotes a combined fixed price, which usually costs less than separate services.
- File on time. AOC-4 and MGT-7 late fees run at ₹100 a day with no cap; the MCA late fee calculator shows what a delay costs.
