OPC registration in Mumbai suits a solo founder who wants a company of their own, which can be run from home, and it is filed fully online through SPICe+ with ROC Mumbai-I for any address in Mumbai City or Mumbai Suburban. A ₹1 lakh One Person Company in Mumbai pays ₹2,300 in government costs, made up of the ₹1,000 name fee and ₹1,300 of Maharashtra stamp duty, and comes with profession tax enrolment from day one.
Who can register an OPC in Mumbai?
Any Indian citizen can form one OPC, whether they live in Mumbai or abroad, with another Indian citizen as nominee. For an NRI founder, the catch is the board: at least one director must stay in India for 182 days or more in the financial year, so a parent or sibling living in Mumbai can join as a second director.
- One OPC each. A person can be a member of only one OPC at a time, and a nominee in only one.
- Nominee. Any eligible Indian citizen, such as a spouse, parent or sibling, who signs a declaration inside SPICe+ with their own digital signature.
- Not for every business. An OPC cannot carry out non-banking financial investment activity, so a Mumbai founder planning to invest in shares through the company needs a different structure.
The national rules, conversion routes and compliance relief are covered under One Person Company registration.
Running an OPC from a Mumbai home: registered office proof
A flat you own, a family member's flat or a rented flat can be the registered office of an OPC in Mumbai. SPICe+ needs the title or tenancy document with rent receipts, a no-objection certificate from the owner where the flat is not yours, and an electricity or other utility bill not older than two months.
| Your situation in Mumbai | What to attach | What to watch |
|---|---|---|
| Flat in your own name | Sale deed or other title document, utility bill | Bill in your name and recent |
| Flat owned by a parent or spouse | Their title document, their NOC, utility bill | The NOC must come from the owner on record |
| Rented flat on leave and licence | Registered agreement, rent receipts, owner's NOC, utility bill | Registration is the landlord's duty under Maharashtra law |
Under section 55 of the Maharashtra Rent Control Act 1999, a leave and licence agreement must be written and registered. A home office also carries the same duties as any other: the company's name and registered office address must be painted or affixed outside, with "One Person Company" in brackets below the name, and INC-20A asks for photographs of the building and of the office with the director inside.
OPC registration fees in Mumbai: Maharashtra stamp duty
Maharashtra stamp duty on an OPC is the same as on any company: ₹1,000 on the MoA and 0.3% of share capital on the AoA, paid with SPICe+. Up to ₹15 lakh of authorised capital there is no MCA registration fee, and above it the OPC pays the lower fee table.
| Authorised capital | MCA fees | Maharashtra stamp duty | Total |
|---|---|---|---|
| ₹1 lakh | ₹1,000 | ₹1,300 | ₹2,300 |
| ₹5 lakh | ₹1,000 | ₹2,500 | ₹3,500 |
| ₹10 lakh | ₹1,000 | ₹4,000 | ₹5,000 |
| ₹20 lakh | ₹23,500 | ₹7,000 | ₹30,500 |
The ₹20 lakh figure assumes the company stays an OPC for at least a year, as the lower table requires. Ofin's fee starts at ₹8,999 and the package includes the government fee and stamp duty.
Maharashtra profession tax for a Mumbai OPC
Every company incorporated in Maharashtra after 22 July 2020, an OPC included, takes two profession tax certificates at incorporation: PTEC for the company's own tax, usually ₹2,500 a year paid by 31 March, and PTRC for tax deducted from salaries. MCA says profession tax registration in Maharashtra is mandatory through SPICe+.
Salary deductions follow the state slabs. A man earning above ₹10,000 a month pays ₹200 a month and ₹300 in February, or ₹2,500 a year; a woman pays nothing up to ₹25,000 a month and the same ₹200 above it. An OPC that pays one employee ₹30,000 a month therefore deducts ₹2,500 a year for that person, whether a man or a woman, and files its PTRC return once a year, by 15 March, as long as the previous year's tax was below ₹50,000. The Maharashtra professional tax calculator works this out for a whole payroll, and payments go through the Maharashtra GST Department.
Shops and Establishments, GST and the ROC for a Mumbai OPC
A one-person consultancy in Mumbai with fewer than ten workers gives an online intimation under the Maharashtra Shops and Establishments Act 2017 within 60 days of starting business; registration is needed at ten workers or more. GST is separate, and a Mumbai GSTIN begins with 27.
- The twenty-worker figure. A 2025 ordinance lifted the limit to twenty from 1 October 2025, but no Act replaced it before it lapsed, and a state government circular of 30 April 2026 applies the ten-worker figure.
- Which ROC. Addresses in Mumbai City and Mumbai Suburban, Ofin's own Mulund West included, come under ROC Mumbai-I. Thane, Navi Mumbai, Palghar and Raigad have been with ROC Mumbai-II at Navi Mumbai since 16 February 2026, under the PIB release of 31 December 2025.
- GST. An OPC that needs GST can apply in the AGILE-PRO-S form at incorporation or later through GST registration in Mumbai.
- Growing past one owner. When a co-founder or investor joins, the OPC converts into a private company on Form INC-6; see private limited company registration in Mumbai for what changes locally.
Worked example: a design OPC run from a flat in Malad
Saffron Kite Design (OPC) Private Limited, a made-up company, is formed by a product designer who works from her mother's flat in Malad, with her husband as nominee and ₹1 lakh of authorised capital. Malad is in Mumbai Suburban district, so the company comes under ROC Mumbai-I, and the government cost is ₹2,300.
- Her mother signs an NOC, and the latest electricity bill in her mother's name, not older than two months, goes with the flat's title document.
- The designer and her husband each get a digital signature; he signs the nominee declaration in SPICe+.
- AGILE-PRO-S carries the PTEC and PTRC applications, EPFO and ESIC registration and the bank account application.
- She hires one assistant on ₹30,000 a month, so the OPC deducts ₹2,500 a year in profession tax and gives a Shops and Establishments intimation, not a registration.
- Within 180 days she files INC-20A with photographs of the building and of her home office with her in it.
