A registered office change in Mumbai now depends on where the new address sits. Since 16 February 2026, Mumbai City and Mumbai Suburban come under the Registrar of Companies, Mumbai-I, while Thane, Palghar and Raigad, which include Navi Mumbai, come under ROC Mumbai-II. A move within Mumbai's municipal limits normally needs only a board resolution and Form INC-22 within 30 days, but shifting a registered office from Mumbai to Thane or Navi Mumbai now crosses an ROC boundary and needs the Regional Director's confirmation first.
ROC Mumbai-I or ROC Mumbai-II: where does your Mumbai registered office sit?
ROC Mumbai-I, headquartered in Mumbai, covers the Mumbai and Mumbai Suburban districts. ROC Mumbai-II, headquartered in Navi Mumbai, covers Thane, Palghar and Raigad along with Nashik, Aurangabad, Dhule, Jalgaon and Nandurbar, according to the PIB release of 31 December 2025.
The Regional Directorate for the Western Region was split on the same lines. RD (WR-I) in Mumbai covers Mumbai and Mumbai Suburban, with Goa and Daman and Diu, and RD (WR-II) in Navi Mumbai covers every other district of Maharashtra.
| Where the office is | District | ROC | Regional Director |
|---|---|---|---|
| Fort, Masjid, Parel | Mumbai City | Mumbai-I | WR-I, Mumbai |
| Andheri, Ghatkopar, Mulund | Mumbai Suburban | Mumbai-I | WR-I, Mumbai |
| Thane city, Vashi, Belapur, Bhayandar | Thane | Mumbai-II | WR-II, Navi Mumbai |
| Kharghar, Panvel | Raigad | Mumbai-II | WR-II, Navi Mumbai |
Navi Mumbai spans two districts: Vashi and Belapur fall under the Navi Mumbai Municipal Corporation in Thane district, while Kharghar falls under the Panvel Municipal Corporation in Raigad. Before 16 February 2026 all of these sat under one ROC Mumbai, which was split into ROC Mumbai-I, ROC Mumbai-II and a new ROC Nagpur.
Shifting a registered office within Mumbai, to Thane or to Navi Mumbai: which route applies?
Two questions decide the route: does the new address leave the local limits of the city, and does it leave ROC Mumbai-I's two districts? Leaving the city needs a special resolution under section 12(5) of the Companies Act 2013, and leaving the ROC's area adds Regional Director confirmation in Form INC-23.
| Move | Example | What the company needs |
|---|---|---|
| Within Mumbai City and Mumbai Suburban | Fort to Andheri | Board resolution, then INC-22 |
| Between two cities inside ROC Mumbai-II | Thane to Vashi | Special resolution, MGT-14 and INC-22 |
| From Mumbai into a Mumbai-II district | Mulund to Thane, Andheri to Vashi, Borivali to Bhayandar | Special resolution, MGT-14, INC-23 to the Regional Director, INC-28, then INC-22 |
| From Thane, Navi Mumbai or Panvel into Mumbai | Kharghar to Parel | The same Regional Director route |
| Out of Maharashtra | Mumbai to another state | Central Government approval under section 13(4) |
Mumbai City and Mumbai Suburban are both administered by the Brihanmumbai Municipal Corporation, which is why a shift such as Fort to Andheri is normally treated as staying within one city. Thane, Navi Mumbai, Panvel and Mira-Bhayandar each have their own municipal corporation. The registered office change service page sets out the inter-state route in full.
Why a move from Mumbai to Navi Mumbai or Thane now needs the Regional Director
The proviso to section 12(5) bars a company from moving its registered office from one Registrar's jurisdiction to another within the same state unless the Regional Director confirms it. With ROC Mumbai split from 16 February 2026, Mulund to Thane is now such a move, even though the two are neighbours.
Example. Kestrel Analytics Private Limited (a made-up company), registered in Andheri, leases an office in Vashi. Its members pass a special resolution, and the company files MGT-14 within 30 days of it. It then applies in INC-23 with the five documents rule 28 lists, including an acknowledged intimation to the Chief Secretary of Maharashtra. The Regional Director must pass an order within 15 days of a complete application. The company files the certified order in INC-28 within 30 days of receiving it, and INC-22 records the Vashi address.
Keep the Andheri office able to receive notices until the Registrar certifies the confirmation, because section 12(7) makes the shift effective only from the date of that certificate. Giving up the old Mumbai premises early leaves the company without a working registered office in between.
What address proof works for a Mumbai registered office?
MCA asks for the same proof in Mumbai as anywhere else: a title document, a notarised rent agreement in the company's name with a rent receipt under one month old, or the owner's authorisation with proof of ownership, plus a utility bill under two months old (rule 25(2)). The practical question is which of these your premises can give you.
- Owned office. The registered title document in the company's name is enough, with the utility bill.
- Rented office in Fort or Andheri. The agreement must be in the company's name; one signed by a director personally does not meet that route, so use the owner's authorisation instead.
- A director's or relative's flat in Ghatkopar or Mulund. The owner signs a no-objection letter, with proof of ownership and a utility bill in the owner's name.
- A co-working desk in Parel. The operator, as the authorised occupant, gives the authorisation, backed by proof of its own occupancy.
Choose premises the company can actually use. INC-22 itself needs a photograph of the Mumbai office, outside and inside, with a signing director or key managerial person in the frame, and under rule 25B the Registrar can verify a registered office in person, with two independent witnesses from the locality, and photograph it.
Which Maharashtra registrations need the new address?
Updating MCA is only part of the job. A Mumbai company should also update its Maharashtra registrations, and the Shops and Establishments change notice has its own 30-day deadline.
- Shops and Establishments. Changes to a registration certificate are notified online in Form I within 30 days of the change, under rule 10 of the Maharashtra Shops and Establishments Rules 2018. The notice needs a photograph showing the name board in Marathi, which rule 35 requires in Devanagari script, written first and in letters no smaller than any other language.
- Name board under the Companies Act. Section 12(3)(a) separately requires the company's name and registered office address outside every office, also in the characters of a language in local use if the board uses other characters.
- GST. A Maharashtra GSTIN starts with state code 27, and a move within Maharashtra is an address amendment on the GST portal; Ofin's GST registration in Mumbai team handles it.
- Professional tax. PTRC and PTEC records sit on the MahaGST portal; see professional tax registration in Mumbai.
Common mistakes when shifting a registered office in Mumbai
Most problems in Mumbai now come from assuming the pre-2026 ROC map still applies.
- Treating Mumbai to Thane as a same-ROC move. It was one before 16 February 2026; it is not now.
- Filing INC-22 for Navi Mumbai too early. The Regional Director's order and the INC-28 filing come first.
- A rent agreement in a director's name. Switch to the owner's authorisation route, or have the agreement made in the company's name.
- A stale electricity bill. Anything older than two months fails rule 25(2).
- Missing the 30-day limits. A late INC-22 or MGT-14 attracts an additional fee of 2 to 12 times the normal fee, the scale the MCA late fee calculator applies to DPT-3.
