Company closure in Mumbai follows the national strike off route, with one detail many owners miss: Form STK-2 is decided by the Registrar, C-PACE, not by ROC Mumbai-I, and the government fee is ₹10,000. On top of that, a Mumbai company pays Maharashtra stamp duty of ₹500 on the STK-3 indemnity bond and ₹500 on each director's STK-4 affidavit. This guide covers what changes when you strike off a company in Mumbai.
Which registrar handles a company strike off in Mumbai?
Since 1 May 2023 every STK-2 in India, including one from a Mumbai company, goes to the Registrar, Centre for Processing Accelerated Corporate Exit (C-PACE), which has all-India jurisdiction. Your own ROC still matters: it holds the returns you must bring up to date first, and it can start a strike off on its own.
Since 16 February 2026 the old ROC Mumbai is split by district. The STK-6 public notice is signed at C-PACE for and on behalf of the jurisdictional Registrar of Companies, which for most Mumbai companies is ROC Mumbai-I.
| Registered office in | Jurisdictional ROC | Who decides STK-2 |
|---|---|---|
| Mumbai City (Fort, Byculla, Dadar) | ROC Mumbai-I | C-PACE |
| Mumbai Suburban (Andheri, Ghatkopar, Mulund) | ROC Mumbai-I | C-PACE |
| Thane, Palghar or Raigad, including Navi Mumbai | ROC Mumbai-II | C-PACE |
The national requirements, documents and the voluntary liquidation alternative are set out in our main guide to company winding up. In December 2024 MCA said C-PACE was taking 70 to 90 days on average per application, and that applies to a Mumbai filing just as much as one from anywhere else.
Maharashtra stamp duty on strike off documents
Maharashtra charges ₹500 on an indemnity bond under Article 35 of the Maharashtra Stamp Act and ₹500 on an affidavit under Article 4. The affidavit duty rose from ₹100 to ₹500 on 14 October 2024, so older checklists that budget ₹100 for each STK-4 are out of date.
The STK-3 form itself says it is to be drawn on stamp paper of appropriate value, and it can be given by the directors individually or jointly. The STK-4 affidavit is one per director.
Example. Harbourline Traders Private Limited (a made-up company) in Masjid has two directors. One joint STK-3 bond costs ₹500 and two STK-4 affidavits cost ₹1,000, so Maharashtra stamp duty is ₹1,500. If each director signs a separate bond instead, it is ₹2,000. With the ₹10,000 STK-2 fee, the government cost is ₹11,500 or ₹12,000 before MGT-14 and professional fees.
Clearing Maharashtra tax and labour registrations first
In STK-2 a director declares that the company owes no tax or duty to the Central or any State Government or local authority. For a Mumbai company that means checking state dues as carefully as income tax, starting with professional tax and GST.
- Professional tax. Companies incorporated in Maharashtra after 22 July 2020 had to take both a PTEC and a PTRC at incorporation (section 5(3A)). The PTEC carries ₹2,500 a year in most cases, and PTRC returns cover tax deducted from salaries. Pay every year's arrears before filing; the Maharashtra professional tax calculator shows the salary deductions.
- GST. Maharashtra GSTINs begin with 27. Cancel the registration before the company is closed; Ofin's GST registration cancellation service includes the final return.
- Shops and establishments. Under the Maharashtra Shops and Establishments Act 2017, the employer must tell the Facilitator within 30 days of closing the business. This applies both to registered establishments (section 10) and to those with fewer than ten workers that only gave an intimation (section 7).
Keeping a Mumbai registered office until dissolution
Section 12 requires a company to have a registered office able to receive and acknowledge notices at all times, and the company exists until the STK-7 notice is published. Letters to the company go to that address, so do not let a Mumbai leave and licence agreement lapse with the application still pending.
If the ROC starts a strike off on its own instead, its STK-1 notice goes by registered or speed post to the directors at the addresses on record, with 30 days to reply.
If you must give up the premises earlier, shift the registered office properly first. Three points are specific to the Mumbai region:
- A move from Mumbai City or Mumbai Suburban to Thane or Navi Mumbai now crosses from ROC Mumbai-I to ROC Mumbai-II. A change between two ROCs in the same state needs confirmation from the Regional Director (section 12(5)).
- A move to another state in the three months before STK-2 bars the application altogether (section 249).
- A co-working or shared address works only if it can still receive and acknowledge post. Ofin handles a registered office change in Mumbai if you need one before closing.
Newspaper notice and objections in Maharashtra
The public notice for a Mumbai company's strike off is published on the MCA website, in the Official Gazette, and in a leading English newspaper and a leading vernacular-language newspaper with wide circulation in Maharashtra. Anyone, including a creditor, landlord or former employee, can object within 30 days.
The Registrar also writes to the income-tax and other authorities for objections within 30 days. If the company has a website, it must keep the application on the site until the application is decided (rule 7). Clearing the dues before you file is what keeps these 30 days uneventful.
Overdue returns at ROC Mumbai-I before you apply
Before STK-2, a Mumbai company must file its overdue AOC-4 and MGT-7 or MGT-7A up to the end of the financial year in which it stopped business. For a registered office in Mumbai City or Mumbai Suburban, those returns sit with ROC Mumbai-I and carry an additional fee of ₹100 a day per form.
Two Mumbai filings often stall a closure:
- Years of missed returns. Ofin's company annual compliance in Mumbai clears the backlog first, and the close your company finder shows whether strike off is open to you yet.
- A director's DIN deactivated for a missed DIR-3 KYC. STK-2 is signed by a director who quotes a DIN, so reactivate it first with a late KYC costing ₹5,000; see DIN reactivation in Mumbai.
