What’s specific to Mumbai

Registrar of Companies, Mumbai-I

Since 16 February 2026, companies and LLPs with their registered office in Mumbai City or Mumbai Suburban district come under the Registrar of Companies, Mumbai-I. (Thane, Palghar and Raigad, including Navi Mumbai, moved to ROC Mumbai-II, based in Navi Mumbai.) Incorporation, annual returns and change filings are all made online on the MCA portal, so you never need to visit the ROC office.

Source: PIB, Ministry of Corporate Affairs (31 Dec 2025)

An object clause change in Mumbai follows the Companies Act 2013 like anywhere else: a special resolution of members, then Form MGT-14 filed online within 30 days of it. Since 16 February 2026, a company with its registered office in Mumbai City or Mumbai Suburban comes under the Registrar of Companies, Mumbai-I. What makes the Mumbai job different is the set of Maharashtra registrations that may need updating once the new objects are approved.

Which ROC registers an object change for a Mumbai company?

Since 16 February 2024, MGT-14 has been processed at the MCA's Central Processing Centre, not at a Mumbai ROC office. Jurisdiction still follows the registered office: ROC Mumbai-I for Mumbai City and Mumbai Suburban and, since 16 February 2026, ROC Mumbai-II, based in Navi Mumbai, for Thane, Palghar and Raigad, which includes Navi Mumbai.

So a company registered in Fort or Andheri comes under ROC Mumbai-I, while one registered in Navi Mumbai or Thane comes under ROC Mumbai-II, even if both run warehouses in the same place. Either way, MGT-14 goes in online on the MCA portal and the certificate confirming the new objects is sent electronically, so nobody needs to visit an ROC office in Mumbai.

The object change itself never moves a company between the two Mumbai ROCs. That happens only if the registered office shifts across the district line, which is a separate filing covered under registered office change in Mumbai.

A Mumbai object change, date by date

Members can approve the change quickly if they agree to short notice, and the registrar then has 30 days from filing to register it. Here is how the dates fall for a typical Mumbai family company.

Example. Seaview Dry Fruits Private Limited, registered in Masjid Bunder, trades in dry fruits and wants to add a packaged-snacks brand and a café in Bandra. Its board meets on 2 November 2026. Members holding a majority in number and over 95% of the voting capital consent to short notice, and the general meeting passes the special resolution on 10 November 2026. MGT-14 is due by 10 December 2026. Filed on 20 November 2026, it must be registered and certified by 20 December 2026.

Two Mumbai points from that example:

  • Share the draft clause early. Family members spread across Mumbai, Pune or abroad can give short-notice consent electronically, which keeps the meeting date close to the board date.
  • New objects, new places of business. The café in Bandra is a new establishment, so it brings its own local registrations, covered below.

The steps, the resolution and the MGT-14 fee are the same as in any state; see the company object change guide for the full procedure and fees.

Maharashtra registrations to update after the change

The ROC certificate covers company law only. If the new objects change what your Mumbai premises do, Maharashtra and central registrations tied to those premises or that activity may need updating too.

  • Shops and establishments. Under the Maharashtra Shops and Establishments (Regulation of Employment and Conditions of Service) Act 2017, a registered establishment's online application states the actual nature of its business (section 6). Section 9 requires the employer to notify any change in those particulars online to the Facilitator, who issues a fresh registration certificate. A smaller establishment gives an online intimation under section 7, which also records the nature of business. A Maharashtra ordinance of 1 October 2025 changed the worker threshold between the two routes, so confirm the current figure with the Labour Department.
  • Food. Adding a food activity means FSSAI cover on the FoSCoS portal. From 1 April 2026, registration covers turnover up to ₹1.5 crore, a State licence up to ₹50 crore and a Central licence above that. See FSSAI registration in Mumbai.
  • Real estate. MahaRERA regulates real estate projects and agents across Maharashtra, so a company adding property brokerage needs MahaRERA agent registration, applied for online.
  • GST. Maharashtra GSTINs start with state code 27. If your registration lists the goods or services you supply, amend it on the GST portal to cover the new line.

Does a Mumbai company need a new name or trademark too?

Sometimes. A name that signals finance must match a finance business, and the other way round, under rule 8A of the Companies (Incorporation) Rules. Outside that, a new name is optional, but a new line of business often launches under a new brand, which raises the trademark question.

  • Name. A name change needs its own MGT-14 and Form INC-24, and takes effect when the ROC issues a fresh certificate of incorporation. Ofin can run it together with the object change: see company name change in Mumbai.
  • Brand. The Trade Marks Registry's Mumbai office, at Antop Hill, has territorial jurisdiction over Maharashtra, Madhya Pradesh, Chhattisgarh and Goa. Filing is online, so a Mumbai company can apply for the new brand as soon as it is chosen.

What does an object change cost for a Mumbai company?

The MCA fee for MGT-14 is the same in Mumbai as in any other city: ₹200 to ₹600, depending on authorised capital, with a graded additional fee if you file late. Ofin's fee for a Mumbai object change starts at ₹6,647, including the normal government fee.

Where Maharashtra does add cost is capital. If the new business needs fresh shares beyond the current authorised capital, the SH-7 for the increase carries Maharashtra stamp duty of 0.3% of the increase, capped at ₹1 crore, since 14 October 2024. Plan both together and read increase authorised capital in Mumbai before you fix the number.

Common Mumbai mistakes with an object change

The MCA filing is only part of the job in Mumbai. The new objects are legal once registered, but local registrations do not update themselves.

  • Starting the new activity at a Mumbai shop or office before the ROC registers the change. Under section 13(10), the alteration has no effect until registered.
  • Forgetting the Shops and Establishments update under section 9 when the nature of business at registered premises changes.
  • Opening a second establishment, such as a café or a godown, under the old registration instead of its own.
  • Assuming a Navi Mumbai or Thane company deals with ROC Mumbai-I. Since 16 February 2026 it is ROC Mumbai-II.
  • Leaving a finance word in the name after the main business moves out of finance.
