What is DIN — and Why Does Every Director Need One?
Thinking of becoming a company director in India? Before you sign any document, pass any resolution, or get appointed on any board — you need a DIN.DIN stands for Director Identification Number. It is a unique 8-digit number issued by the Ministry of Corporate Affairs (MCA) to every individual who becomes or intends to become a director of a company or a designated partner in an LLP. Once issued, your DIN stays with you for life — it doesn’t change, even if you’re a director in 10 different companies.
Think of it as your permanent corporate identity number — like a PAN card, but specifically for directors.
Under the Companies Act, 2013, having a valid DIN is not optional. You cannot be legally appointed as a director without one. And once you have it, you must keep it active through an annual KYC process.
At Ofin Legal, we handle your DIN registration end-to-end — from obtaining your Digital Signature Certificate to filing Form DIR-3 with the MCA — so you can focus on building your business, not chasing government portals.
Who Needs a DIN?
You need a DIN if you are:
- Starting a new Private Limited Company, OPC, or LLP and becoming a director or designated partner
- Joining an existing company as a new director
- A foreign national being appointed as a director in an Indian company
- An NRI taking up a directorship role in India
You do not need a DIN if you are only a shareholder of a company without holding a director’s position.

How Does the DIN Registration Process Work?
Getting a DIN is straightforward when you have the right team. Here’s how we do it at Ofin Legal:
Step 1 — Share Your Documents You share scanned copies of your PAN, identity proof, address proof, and photograph. No office visit needed.
Step 2 — Obtain Your DSC If you don’t already have a Digital Signature Certificate, we help you get one. Your DSC is needed to sign Form DIR-3 online.
Step 3 — Prepare and File Form DIR-3 Our team prepares your DIN application (Form DIR-3), gets it certified by a qualified professional (CA/CS/CMA), and files it on the MCA portal.
Step 4 — DIN Allotment The MCA processes and approves the application, typically within 1–2 working days. Your DIN is communicated to you by email.
Step 5 — Inform Your Company Once your DIN is allotted, we guide you on the next step — whether that’s company incorporation via SPICe+ or joining an existing board.
Key Facts About DIN
- One DIN per person: The MCA issues only one DIN to any individual, ever. It is valid across all companies and LLPs.
- Lifetime validity: Your DIN does not expire — but it can get deactivated if you miss the annual DIR-3 KYC filing.
- Annual KYC deadline: Every director must complete DIR-3 KYC by 30th September each year to keep their DIN active. A penalty of ₹5,000 applies if the deadline is missed.
- DIN for LLPs: Designated Partners of an LLP also need a DIN (previously called DPIN — both are now treated the same by MCA).
- New company vs. existing company: For new incorporations, DIN is automatically allotted through the SPICe+ form. If you’re joining an existing company, you apply separately through Form DIR-3.
What Happens If DIN Goes Inactive?
If you miss the annual DIR-3 KYC, your DIN gets deactivated. A deactivated DIN means you cannot:
- Sign or submit any MCA filings
- Execute board resolutions
- Continue to legally act as a director or designated partner
Reactivating a deactivated DIN requires filing the KYC with a late fee. Avoid this entirely with Ofin Legal’s compliance reminder service.
